Order Dynamics Markets — Provider Terms
Version: provider-terms-v1
Effective from: 2026-11-01
Binding language: English. Any translation is provided for convenience only.
1. Scope
These terms apply in addition to the Terms of Use when you supply strategies and bundles on Order Dynamics Markets as a strategy provider ("you"). They are between you and Order Dynamics GmbH, Geschwister-Scholl-Strasse 109, 20251 Hamburg, Germany, trading as Order Dynamics Markets ("we", "us").
You act as a business. The provisions of the Terms of Use that protect consumers do not apply to you in your role as a provider.
2. Application and review
You apply in your account. We review every application, every strategy and every bundle by hand, and we may decline without giving reasons. A strategy or bundle goes live only after we have approved it. We may pause or withdraw a live strategy or bundle where it no longer meets our criteria, where its signals are erroneous, or where the law or a third party's rights require it; we will tell you why.
3. What you supply
- Rule-based strategies. Every entry and exit of a strategy follows fixed rules, not discretionary judgement on the day.
- Instruments. US stocks and ETFs that are tradable at Alpaca, with order types Alpaca supports.
- Honest content. Descriptions, risk classifications and track records are accurate and not misleading. Backtested and live results are kept apart and labelled. You do not promise returns.
- Signals. You deliver signals through our signal API or MCP server in the documented format, test first with a test token, and live only with a live token after approval. Signals carry no position size.
- Continuity. You tell us in advance if you intend to stop or materially change a strategy, so that subscribers can be informed.
4. Your rights, and the licence you give us
Your strategies remain yours. You grant us, for as long as a strategy or bundle is on the Platform and for the time needed to wind it down, a non-exclusive, worldwide right to display its content and track record, to describe it in our assistant and our marketing, and to deliver its signals to subscribers and turn them into orders in their accounts. You confirm that you hold the rights needed for that.
5. Your regulatory responsibility
You are responsible for whether your own activity — developing strategies, publishing signals, and receiving a share of the revenue — requires an authorisation, a registration or a disclosure in any country where you act or where your signals are received, and for holding it. You tell us without delay if that changes. We may ask for evidence.
6. Prices and your share
- You set the monthly net price of each of your bundles, within the limits we publish. Prices are shown net; VAT is added by Stripe.
- You receive 60 % of the net revenue of every paid invoice line for your bundles. A different share applies only if we have agreed it with you in writing.
- Net revenue is what the subscriber paid, less VAT, refunds and chargebacks. We bear Stripe's fees.
- We credit your share monthly, by self-billing credit note, for invoices paid in the previous month, and transfer it within 30 days of the end of that month. You are responsible for your own taxes on it.
- In your provider area you can see how many subscriptions each of your bundles has and the revenue on which your share is calculated. You do not see who the subscribers are.
- You can run your own bundles in your own account free of charge.
7. Confidentiality and access
Keep your signal-API tokens and MCP authorisations secret, and revoke a token you believe is compromised. You are responsible for signals sent with your tokens. You may not contact subscribers outside the Platform using information you obtained through it.
8. Liability
Section 12 of the Terms of Use applies to our liability. You indemnify us against claims by third parties, including subscribers and authorities, that arise from content you supplied being inaccurate or infringing, or from your breach of section 5, unless you are not responsible for it.
9. Term
These terms run for as long as you have a provider role. Either side may end them with one month's notice to the end of a calendar month; live bundles are then wound down and subscribers informed. Either side may end them without notice for good cause. Shares on invoices paid before the end remain payable.
10. Changes, law
Section 14 of the Terms of Use applies to changes. German law applies; the exclusive place of jurisdiction is Hamburg, Germany.
